Terms of Service

Agreement

By creating an account or using Cadenz ("the Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use Cadenz.

What Cadenz Is

Cadenz is a personal and team workspace for worship musicians. It helps you manage chord charts, setlists, key decisions, and team sharing. It is a tool — the content you create belongs to you.

Beta notice. Cadenz is currently in beta. Features may change, be added, or be removed at any time, including features that are currently free. We will make reasonable efforts to preserve your data, but during beta we cannot guarantee against data loss. Keep your own copies of any charts you cannot afford to lose.

Eligibility and Your Account
  • You must provide accurate information when creating an account
  • You are responsible for keeping your password secure and for all activity under your account
  • You must be 13 years or older to use Cadenz
  • One person per account — accounts are not transferable

Your Content and the Licence You Grant Us

You own your content. Songs, setlists, chord charts, and other data you create in Cadenz belong to you. We do not claim any ownership over your content.

By uploading or creating content in Cadenz, you grant us a limited, non-exclusive, worldwide licence to store, display, reproduce, process, and transform your content solely as needed to provide the Service to you and to those you share with. This includes, for example: transposing charts to other keys, converting between chord notation systems, generating share pages you create, and maintaining backups.

This licence ends when you delete the content or your account, except for content you have shared with others (which remains subject to their access until unshared or revoked) and residual copies in routine backups, which are purged on a rolling basis.

You may delete your content and your account at any time.

Your Warranty: You Have the Rights to What You Upload

By uploading any content to Cadenz — including chord charts, ChordPro files, and song data — you represent and warrant that you own that content or hold all rights necessary to use it in Cadenz, whether through your church's CCLI licence, another licence, ownership, public domain status, or otherwise.

You are solely responsible for the content you upload. Cadenz does not review, verify, or approve user uploads.

CCLI and Copyright Compliance

Cadenz is a tool for organising chord charts and setlists. You are responsible for ensuring your use of song material complies with applicable copyright law and your CCLI licence.

  • Cadenz is not affiliated with, endorsed by, or connected to CCLI (Christian Copyright Licensing International). References to CCLI song numbers are for your organisational convenience only.
  • Cadenz does not grant you any rights to copyrighted songs. Using Cadenz does not satisfy, replace, or reduce any licensing or reporting obligation you have to CCLI or any rights holder.
  • Content you upload (such as ChordPro files) may contain lyrics or other copyrighted material. Any such material is stored on your behalf under the warranty in Section 05, and you remain responsible for having the rights to it.

Copyright Infringement Policy (DMCA)

We respect intellectual property rights and expect users to do the same. We respond to notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act (DMCA) and comparable laws.

Reporting infringement. If you believe content on Cadenz infringes your copyright, send a written notice to our designated agent:

Your notice must include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material claimed to be infringing and information sufficient to locate it (e.g., the share link or song title); (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf; and (f) your physical or electronic signature.

Our response. Upon receiving a valid notice, we will remove or disable access to the identified material and notify the user who uploaded it.

Counter-notice. If your content was removed and you believe the removal was a mistake or misidentification, you may send a counter-notice to the same address including: identification of the removed material and its prior location; a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification; your name, address, and phone number; a statement consenting to the jurisdiction of the applicable courts and that you will accept service of process from the person who filed the original notice; and your signature. We may restore the material in accordance with applicable law.

Repeat infringers. We will terminate the accounts of users who are determined to be repeat infringers.

Acceptable Use

You agree not to use Cadenz to:

  • Violate any law or regulation
  • Upload content that infringes third-party intellectual property rights
  • Redistribute, republish, or resell chord charts or other content shared with you by other users
  • Circumvent, disable, or interfere with sharing controls, access restrictions, or security features
  • Attempt to gain unauthorised access to other users' data
  • Reverse engineer, copy, or resell the Service
  • Use automated scripts or bots to access the Service

AI-Assisted Features

Some Cadenz features use artificial intelligence (including third-party AI services) to process content — for example, importing and structuring chord charts. AI output may contain errors. You are responsible for reviewing and verifying any AI-processed content before relying on it, including in live performance settings. We are not liable for inaccuracies in AI-generated or AI-processed output.

Pro Tier and Billing

Certain features require a Pro subscription.

  • Subscriptions are billed monthly or annually as selected
  • You may cancel at any time; cancellation takes effect at the end of your billing period
  • We do not offer refunds for partial billing periods
  • We reserve the right to change pricing with 30 days' notice to existing subscribers
  • Which features are included in Pro may change over time; material reductions for existing subscribers will be notified in advance

Third-Party Services

Cadenz is built on third-party infrastructure and services (including hosting, database, and AI providers). Your content is processed and stored by these providers as described in our Privacy Policy. We are not liable for outages, data handling, or failures of third-party services beyond our reasonable control.

Service Availability

We aim to keep Cadenz running reliably, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience outages. We are not liable for any loss caused by downtime, including unavailability during live events or services.

Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by law:

  • Cadenz is provided "as is" and "as available" without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement
  • We are not liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill
  • Our total liability to you for any claim is limited to the amount you paid us in the 12 months preceding the claim (or, if you have paid nothing, to zero to the extent permitted by law)

Indemnification

You agree to indemnify and hold harmless Cadenz and Jesudas Jason Swamy from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) content you upload or share through the Service; (b) your breach of these Terms, including the warranty in Section 05; or (c) your violation of any law or third-party right, including intellectual property rights.

Termination

We reserve the right to suspend or terminate your account if you breach these Terms, including under the repeat-infringer policy in Section 07. You may delete your account at any time. Upon termination, your data will be deleted within 30 days, subject to residual backup copies purged on a rolling basis.

Sections 05, 07, 13, 14, 17, and 18 survive termination.

Changes to These Terms

We may update these Terms. We will notify you by email of material changes. Continued use after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the Kingdom of Bahrain. Any disputes shall be resolved in the courts of that jurisdiction. Nothing in this section limits the operation of the copyright infringement procedures in Section 07.

General
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Cadenz regarding the Service.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of the Service, with notice to you.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
